Sphera Franchise Group SA, a Romanian legal entity with its registered office at Calea Dorobanților no. 239, 2nd floor, Sector 1, Bucharest, Sole Registration Code RO37586457, registered with the Trade Register under no. J2017007126404 (the “Company”), invites interested entities to participate in the selection process for the financial auditor for the financial years 2027, 2028 and 2029. The requested services are the following:
- Audit of the annual individual financial statements and of the consolidated financial statements of Sphera Franchise Group SA, prepared in accordance with the Order of the Minister of Public Finance no. 2844/2016 approving the Accounting Regulations compliant with International Financial Reporting Standards, for the financial years ended 31 December 2027, 31 December 2028 and 31 December 2029. The audit services also cover the standardized reporting in XBRL electronic format of the consolidated financial statements accompanied by the Annual Report.
- Audit of the annual individual statutory financial statements for the financial years ended 31 December 2027, 31 December 2028 and 31 December 2029, prepared in accordance with Order of the Minister of Public Finance no. 1802/2014, as subsequently amended and supplemented, for US Food Network SA (KFC), American Restaurant System SA (Pizza Hut) and California Fresh Flavors SRL (Taco Bell).
- Audit of the annual individual statutory financial statements for the financial years ended 31 December 2027, 31 December 2028 and 31 December 2029 for US Food Network S.r.l. Italy (KFC IT).
- Limited assurance on the annual sustainability reporting in accordance with the requirements of the CSRD (Corporate Sustainability Reporting Directive), as at 31 December 2027, 31 December 2028 and 31 December 2029.
Expressions of interest in providing the audit services shall be sent by e-mail to: re[email protected], to the attention of the Audit Committee.
The deadline for submitting expressions of interest in providing the audit services is 5 October 2026, 18:00. Entities that submit an expression of interest will be provided with the Terms of Reference, which set out the eligibility conditions, the content of the offer, the evaluation criteria and the timetable of the procedure.
Offers for the provision of the audit services may be submitted until the deadline of 2 November 2026, 18:00.
